1. Description of Service

Bizbazaar is an online marketplace that connects Entrepreneurs and Investors. Entrepreneurs can list their businesses for sale, seek investment for their business, or offer their business for rent. Investors can browse listings, connect with Entrepreneurs, and explore business opportunities. The Platform facilitates listings, connections, and introductions between parties but is not itself a party to any business transaction, investment, or agreement between users.

Important: Bizbazaar does not provide financial, legal, or investment advice. All users are responsible for conducting their own due diligence before entering any transaction or investment.

2. User Types

The Platform serves two primary types of users:

Entrepreneur

An Entrepreneur is a user who owns or legally represents a business and wishes to use the Platform for one or more of the following purposes:

• Sell their business - list the business for sale and connect with potential buyers or Investors
• Seek investment - present their business to Investors looking to invest capital
• Rent their business - offer their business for rent to interested parties

By listing on the Platform, the Entrepreneur confirms they have the legal authority to sell, seek investment for, or rent the business in question.

Investor

An Investor is a user who wishes to explore business opportunities on the Platform, including:

• Purchasing a business listed by an Entrepreneur
• Investing capital into a business seeking investment
• Renting a business offered by an Entrepreneur

The Platform does not verify the financial capacity or credentials of Investors. All investment and purchase decisions are made at the Investor’s own risk.

3. Eligibility and Legal Limitations

To use the Platform and its paid services, you must meet all of the following requirements:

• You must be at least 18 years of age
• You must be a legally registered individual entrepreneur, company, or organization, or acting on behalf of one with proper authorization
• You must have the legal capacity to enter into binding contracts under the laws of the Republic of Armenia
• You must not be prohibited from using the Platform under any applicable law or regulation
• Entrepreneurs listing a business must have the legal authority to sell, seek investment for, or rent that business
• It is not permitted to register under a pseudonym or under the name of a user that does not represent a real person

The Platform is intended primarily for users based in or operating in the Republic of Armenia. Users from other jurisdictions are responsible for ensuring their use complies with their local laws and regulations. We reserve the right to refuse access or terminate any account that does not meet these eligibility requirements.

4. User Accounts

Each user may have only one registration (account) on the Platform. You are responsible for:

• Maintaining the confidentiality of your account credentials
• Ensuring all registration information is accurate, complete, and kept up to date
• All activity that occurs under your account

You may not share, transfer, or sell your account to another person. Notify us immediately at admin@bizbazaar.am if you suspect unauthorized access to your account. It is prohibited to post duplicate listings using different email addresses or phone numbers by the same Entrepreneur or organization.

5. Listing Rules

By posting a listing, Entrepreneurs also agree to our listing publication rules. Key requirements include:

• All business listings must be accurate, complete, and not misleading
• Entrepreneurs must clearly indicate the purpose of the listing: sale, investment, or rental
• It is not permitted to post a business listing without the knowledge of the business owner or the person registered as head in the state register of legal entities. Such actions may be criminally punishable
• Real estate agencies may not post business sale listings or act as brokers
• Each listing must represent only one business
• Entrepreneurs are obligated to remove a listing if the business has been sold, fully invested in, or rented
• Fraudulent, illegal, or misrepresented listings will be removed and may result in account suspension or permanent blocking

Bizbazaar reserves the right to remove any listing at its sole discretion without prior notice, to edit listing text, move listings to other sections, or limit the number of listings posted by a single Entrepreneur.

6. Fees and Payments

Certain features on the Platform require payment of fees. All applicable fees are displayed in Armenian Dram (AMD) before you complete a purchase. By completing a payment, you agree to the displayed fee structure.

All payments are processed through Ameriabank CJSC via their secure VPOS gateway. By proceeding to payment you also agree to Ameriabank’s Internet Acquiring Terms and Conditions, available at https://ameriabank.am/userfiles/file/Retail/Internet_Acquiring_Terms_and_Conditions_eng.pdf. Bizbazaar does not store your card details.

7. Service Delivery and Refunds

All Bizbazaar services are delivered digitally upon payment confirmation. No physical delivery applies. Access to paid features is activated automatically once payment is successfully processed by Ameriabank. Bizbazaar offers a 24-hour refund window from the time of purchase. If you wish to request a refund, you must contact us within 24 hours of the payment being processed. After this 24-hour period, refunds will not be available under any circumstances To request a refund within the 24-hour window, please contact us at admin@bizbazaar.am with the following information:

• Your registered email address
• The date and time of the payment
• The transaction reference number provided by Ameriabank at the time of payment
• The reason for the refund request

Approved refunds will be processed back to the original payment method within 5–10 business days, subject to Ameriabank’s processing times. Bizbazaar does not charge any fee for processing refund requests made within the 24-hour window, If you believe an unauthorized payment was made on your account, contact us immediately at admin@bizbazaar.am regardless of the time elapsed.

8. Investment Disclaimer

Investment opportunities listed on Bizbazaar are provided by Entrepreneurs and have not been independently verified or endorsed by Bizbazaar. Investing in a business involves risk, including the potential loss of capital.

Investors are solely responsible for evaluating the merits and risks of any investment opportunity. You should consult with a qualified financial advisor, lawyer, or accountant before making any investment or purchase decision. Bizbazaar accepts no liability for losses arising from decisions made based on information found on the Platform.

9. Restricted Activities

You may not use the Platform to:

• Post false, misleading, or fraudulent listings or information
• Impersonate another person or entity or misrepresent your affiliation
• Attempt to circumvent the Platform to avoid fees
• Harass, threaten, or abuse other users
• Use automated programs or mechanisms for the purpose of accessing the website or collecting data
• Take any action that could lead to technical or systemic overloading of the website
• List businesses involved in illegal activities under Armenian or international law
• Collect personal data of other users without their consent
• Upload viruses, malware, or any code intended to damage or disrupt the Platform
• Use information provided by other users for any purpose other than conducting a legitimate business transaction
• Discuss the actions of the website’s moderators or administration on public platforms - all issues may only be discussed through official communication with Bizbazaar

10. Intellectual Property

All information and materials appearing on Bizbazaar are protected by copyright and belong to Bizbazaar LLC or to the party indicated as the information poster. You may not copy, reproduce, distribute for commercial purposes, publish, create derivative works, store electronically, or in any way commercially benefit from any content or information posted on Bizbazaar.

By posting a listing, Entrepreneurs confirm that they have all necessary rights, licences, and permissions with respect to all information included, and that the information does not violate the rights of third parties, including copyrights, trade secrets, and trademarks.

11. Privacy and Data Protection

Your use of the Platform is subject to our Privacy Policy, available at https://www.bizbazaar.am/en/privacy-policies, and our Cookie Policy, available at https://www.bizbazaar.am/en/cookie-policy. We process personal data in accordance with the RA Law.

By using the Platform, you accept the terms and conditions set forth in the Privacy Policy and give consent for collecting and using your information for the purposes detailed therein. We guarantee that we will preserve your personal data made known to us through the Platform and not share such data with third parties except for the cases provided for by the laws and regulations of Armenia.

12. Limitation of Liability

By using Bizbazaar, you acknowledge that the Platform is used at your own risk. Bizbazaar is not an organizer or party to business transactions, but acts solely as an information and communication platform connecting Entrepreneurs and Investors.

Bizbazaar is not responsible for:

• The accuracy of business listings posted by Entrepreneurs
• The results of transactions concluded between Entrepreneurs and Investors
• The outcome of any investment, purchase, or rental arrangement made through the Platform
• User conduct or possible financial losses
• The value, legality, or financial condition of any business listed on the Platform

The mere presence of a listing on the Platform does not mean that the given business is valid or safe for a transaction. To the maximum extent permitted by Armenian law, Bizbazaar’s total liability to you for any claim shall not exceed the fees paid by you to Bizbazaar in the 3 months preceding the claim.

13. Bizbazaar Rights

Bizbazaar makes all reasonable efforts to ensure the normal operation of the website and the protection of user data. Bizbazaar may at any time:

• Modify the website’s functions, features, or content without prior notice
• Restrict, suspend, or block user actions in case of rule violations
• Delete or deactivate a user’s account and remove all their listings without incurring liability
• Request identity documents or proof of connection between the Entrepreneur and the business listed
• Transfer user data to affected third parties or competent authorities where a user has provided false information or impersonated another person, in accordance with the procedure established by law

14. Updates to These Terms

We may update these Terms at any time. We will notify users of significant changes via email or a notice on the Platform no later than 7 (seven) business days before the changes take effect, unless otherwise required by Armenian law. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

15. Duration of Agreement

These Terms come into force from the moment of using the Bizbazaar website or becoming a registered user. The user may terminate their registration at any time by contacting admin@bizbazaar.am. If the user does not agree with these Terms, they are obligated to stop using the website and its services.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Armenia. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Yerevan, Republic of Armenia, unless otherwise agreed in writing between the parties.
